Memberflow Terms of Service

The agreement that governs your use of Memberflow.

These Terms work alongside our Privacy Policy, which explains what data Memberflow handles and how. By using Memberflow you agree to both.

1. Acceptance of These Terms

These Terms of Service ("Terms") are a legal agreement between you and Skool Nerds ("Skool Nerds," "we," "us," or "our") governing your access to and use of Memberflow, including our Chrome extension, our web dashboard, and any related tools, APIs, and automation features (collectively, the "Service"). By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. What Memberflow Is

Memberflow helps community operators and business owners create, review, organize, schedule, and publish content, and automate routine actions across the platforms they connect. Depending on the features you enable, this can include tagging and organizing members, generating local-first insights, scheduling and publishing posts, sending messages on your behalf, and posting short-form content to connected third-party platforms such as Skool and TikTok.

Some features run locally in your browser; others run on our servers so they can act while your browser is closed. Our Privacy Policy describes exactly what data leaves your device, when, and why.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Service. The Service is intended for adult community operators and business owners, not for children. By using the Service you represent that you meet these requirements.

4. Your Account

Some features require an account or access code. You agree to provide accurate information, keep your credentials secure, and remain responsible for all activity that occurs under your account. Notify us promptly at brian@baddayexcellence.com if you believe your account has been compromised.

5. Connected Third-Party Platforms

Memberflow can connect to and act on third-party platforms you authorize, such as Skool and TikTok. When you connect a platform and enable a feature, you authorize Memberflow to take the actions you configure on that platform on your behalf — for example, publishing posts, uploading short-form video content, or sending messages.

6. Your Content and Responsibilities

You retain ownership of the content you create, upload, schedule, or publish through the Service ("Your Content"). You grant us the limited rights needed to store, process, transmit, and publish Your Content solely to operate the Service and perform the actions you request (such as posting to a connected platform).

We may suspend or terminate access if we reasonably believe you have violated these Terms or created risk or legal exposure for us, other users, or a connected platform.

8. Automation and Scheduling

Certain features publish posts, upload content, or send messages automatically at scheduled times, including while your browser is closed. You are responsible for what you schedule and for reviewing your configuration. We are not responsible for the timing, delivery, or outcome of any individual automated action, which may be delayed, fail, or be blocked by a connected platform.

9. Fees and Plans

Some features are offered on paid plans or via access codes. Where fees apply, they will be described at the point of purchase. Unless stated otherwise or required by law, fees are non-refundable. We may change pricing or plan features on a prospective basis, with notice where required.

10. Intellectual Property

The Service, including its software, design, branding, and content we provide, is owned by Skool Nerds or its licensors and is protected by intellectual property laws. These Terms do not grant you any rights in the Service except the limited right to use it in accordance with these Terms. "Memberflow" and related marks are ours; "Skool," "TikTok," and other platform names are the property of their respective owners, and Memberflow is not endorsed by or affiliated with them.

11. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any automated action, insight, or result will be accurate, delivered, or achieve any particular outcome.

12. Limitation of Liability

To the maximum extent permitted by law, Skool Nerds will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of (or inability to use) the Service. To the maximum extent permitted by law, our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the twelve months before the claim, or fifty U.S. dollars (USD $50).

13. Indemnification

You agree to indemnify and hold harmless Skool Nerds from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including a connected platform's terms.

14. Termination

You may stop using the Service and uninstall the extension at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will survive.

15. Changes to These Terms

We may update these Terms from time to time. Updates will be posted on this page with a revised effective date. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the United States and the state in which Skool Nerds is established, without regard to conflict-of-laws principles. Any dispute will be subject to the exclusive jurisdiction of the courts located there, unless applicable law provides you a non-waivable right to bring a claim elsewhere.
